Starlight Scraps Designer Contract Contract Date: 12/09/2009 You understand that you are an independent contractor selling your designs on a consignment basis. You further understand that you are responsible for the reporting and payment of any tax required by the governments of your country and local state or province, and that you are responsible for keeping any records required for doing so. This agreement shall not render the Designer an employee, partner or agent with Starlight Scraps; the Designer is an Independent Designer in relationship with Starlight Scraps. In respect to that the Designer has no claim against Starlight Scraps for the following: vacation pay, sick leave, retirement benefits, social security, worker’s compensation, or employee benefits of any kind. Starlight Scraps shall not be responsible for withholding taxes; this is the Designers sole responsibility. As a designer for Starlight Scraps you are an independent contractor, selling your designs in the Starlight Scraps store on an 80% commission minus any paypal fees. You will be required to join the Starlight Scraps Designer group to keep up with updates, etc. Unless otherwise required by law, the Designer will maintain in confidence any proprietary and/or trade secrets disclosed or submitted to the Designer by the Company which will be designated in writing at the time of disclosure. Confidential information includes, but is not limited to: financial information including commission rates and sales results; store, forum, and collaborative projects; information exchanged through email, live chat, and on the Company forum; administration and server access information; technical development and information delivered about the website (statistics, traffic information, business partnerships, and other projects); prices costs; procedures, documents, coaching, and tutorials; marketing tools and strategies; client relationships,including any client email addresses, and partnerships. Store Sales, Specials, Coupons, and Gift Certificates Storewide: From time to time Starlight Scraps will run storewide sales. You will be notified in advance of the upcoming sales through the forum notifications. You can set your sale to your own price or % off through admin. Sales will need to be a minimum of 25% off during the storewide sales. If you do not have your sale set up by 12:00pm (EST) on the day the storewide sale starts, admin will set it up for you with 25% off all your products, excluding specials. Your own Sales: You may also run your own sales at any time. Please notify admin of your sales, so that it can be included in the Newsletters and Ads. Specials: You will have access to set any product on special at any time. Please limit your specials to 5 products at a time. Payments You will be paid an 80% on designs sold at Starlight Scraps. Payday will be on the 1st and 15th of each month via Paypal. We are not responsible for Paypal Fees in commissions transfer. You will need a Paypal account and send the information to admin to be paid. Design Requirements You are only to provide designs that are in good taste, no illegal, profane, or hateful designs. This will cause contract termination without notice. There are no set required products that have to be added each month. Products must be in good quality, no jaggies or extra pixels floating around. It is always best to make the piece bigger and have to shrink it, then make it too small and have to enlarge it and loose quality. Please only submit designs that you have made. Copyright infringement and Piracy are prohibited. If you are involved in any way, shape or form in any kind of Piracy scam or use copyrighted material your contract will be terminated without notice and all products will be removed from the store immediately. You are responsible for your own designs and products. Packaging Products: For each product please package as: (this will ensure that no one else names their attributes the same as yours). Main Folder: designername_productname Please keep each download under 50 mb you may need to split up and have multiple downloads. Like so: designername_productname1 designername_productname2 For previews, please include your designer name in the name of the file so that it is unique from other previews and does not override another designer’s preview. **You must include your Terms of Use in each of your main downloads. You will be responsible for uploading your files to website server using Filezilla, and entering into store. Your ftp and admin info will be emailed upon receipt of this signed contract. We are not responsible for any lost or damaged files; please make sure you keep a copy of files. When entering products in store please make sure the attributes are linked correctly, light will be green. If there is a specific category that you would like added to the store, please contact admin to have it entered. Refunds Customer Orders will be refunded in full on products with missing download links, who are charged shipping, products that are poor quality (jaggies, stray pixels, poor resolution), or products not as described. Advertising You will be responsible for advertising your own products. Starlight Scraps will advertise the store as a whole thru paid advertising, topsite lists, newsletters, and some yahoo groups. The more you advertise the more sales you will get. Please try to send out at least 3 ads per week to help your sales. Contract Termination This contract may be terminated at any time with a 2 week notice by either party. You must allow Starlight Scraps up to 2 weeks to remove your products from our store after termination notice is given. When a 2 week notice is given by either party no new products will be accepted or added to the store. Once a 2 week notice is given, you will no longer have access to ftp or admin area or other designer areas as a designer (forum, groups, etc). Admin will remove your products and notify you upon removal. Products will be removed immediately due to any piracy issues. You will receive commissions on next scheduled payday. Starlight Scraps-Admin may terminate contract for any reason with a 1-2 week notice. Piracy or Copyright issues are grounds for immediate termination without notice.
